These Rewards Program Terms & Conditions (the “Rewards Terms”) govern participation in the cashback rewards program (the “Rewards Program”) made available by Upward Financial Inc. and its applicable program partner (“Program Partner”) through an enabled card or account program.
These Rewards Terms are separate from, and in addition to, your applicable cardholder agreement, account agreement, or other end-user terms governing your account (the “Account Agreement”).
Program Overview
The Rewards Program allows eligible users to earn cashback rewards (“Cashback”) in connection with qualifying purchases made through participating merchants (“Merchants”) pursuant to promotional offers (“Offers”). Cashback is earned solely in U.S. dollars and, when credited, is deposited into the user’s eligible account held with the Program Partner.
Cashback works with your applicable account and cardholder agreement (your “Bank Account”), held at Cross River Bank, Member FDIC (the “Bank”) to provide you rewards and cashback for everyday purchases you make.
Upward administers the Rewards Program on behalf of the Program Partner and may use one or more third-party service providers, including offer networks and data processors, to operate Offers, track qualifying transactions, and calculate Cashback.
Eligibility
To participate in the Rewards Program, you must maintain an open and active eligible account issued under a Program Partner program and be in good standing under your Account Agreement. Eligibility may vary by account type, transaction type, or applicable law. Certain transactions and accounts may be excluded from earning Cashback as described below.
Enrollment
If a Program Partner enables the Rewards Program, all eligible users under that program are automatically enrolled in the Rewards Program. No separate opt-in is required by you. Participation in the Rewards Program constitutes acceptance of these Rewards Terms.
Earning Rewards
A. General Rule.Except as otherwise stated in an applicable Offer, Cashback is earned only upon the settlement of a qualifying card transaction. Pending, authorized, reversed, or declined transactions do not earn Cashback.
B. Card-Linked Offers. For card-linked Offers, you must complete a qualifying transaction using an enrolled payment card or access device associated with your eligible account. Transactions processed through third parties, digital wallets, or intermediaries that do not transmit required transaction or merchant data may not qualify.
C. Online Offers. For online Offers, purchases must be completed through a designated link, application flow, or tracking mechanism specified in the Offer. Transactions completed outside of the designated flow may not be recognized.
D. Eligible Transactions.Cashback may be earned on qualifying card purchase transactions for goods and services that have successfully settled and otherwise satisfy the applicable Offer requirements.
E. Excluded Transactions.Cashback is earned only upon the settlement of a qualifying card transaction. For clarity, Cashback is not earned on the following transaction types:
Rewards are earned only on the qualifying settled purchase amount and exclude taxes, tips, fees, shipping, returns, and adjustments.
Reward Posting and Funding
Cashback does not appear at the time of purchase. Upward will track earned Cashback on a rolling basis and process reward calculations monthly. Cashback will be credited to your Bank Account on a quarterly basis following reconciliation and confirmation of qualifying transactions.
Cashback will be credited only to Bank Accounts that are open and active at the time of payout. Cashback will not be credited to Bank Accounts that are closed, restricted, or otherwise ineligible at the time rewards are scheduled to be posted.
Adjustments, Reversals, and Lookback Period
Upward or the Program Partner reserves the right, for a period of up to one hundred twenty (120) days following the settlement date of a qualifying transaction, to adjust, withhold, reverse, or reclaim any Cashback earned or credited if it is determined, in Upward’s or the Program Partner’s sole discretion, that an adjustment is warranted.
Circumstances may include, but are not limited to:
If Cashback has already been credited, the reversed amount may be deducted from your Bank Account balance, offset against future Cashback, or otherwise recovered to the extent permitted by law.
Certain Merchants may impose limits on Cashback eligibility (for example, Cashback rewards applicable only up to a specified purchase amount). Such limitations will be disclosed in applicable Offer terms.
Expiration and Forfeiture
Cashback earned under the Rewards Program does not expire based on inactivity. Cashback will be paid to all open and active Bank Accounts. However, if an otherwise eligible Bank Account is closed for any reason prior to Cashback being credited, any uncredited Cashback is forfeited.
Bonuses
From time to time, Upward or the Program Partner may offer opportunities to earn additional Cashback (“Bonuses”). Bonuses may be based on transactions, account activity, referrals, or other qualifying actions. The amount of Cashback available through a Bonus, the duration of the Bonus, eligibility requirements, and any additional terms will be disclosed when the Bonus is offered.
Upward or the Program Partner may modify or cancel a Bonus at any time. Cashback earned through a Bonus will be credited upon the expiration of the Bonus period or as otherwise specified in the applicable Bonus terms. The offering and expiration of a Bonus does not constitute a modification of the Rewards Program.
Merchant Responsibility
Upward, Bank, and the Program Partner are not parties to transactions between users and Merchants and make no warranties regarding goods or services purchased. All disputes related to purchases must be resolved directly with the Merchant.
Data Use and Marketing
Participation in the Rewards Program requires the collection and use of transaction data to administer Offers and calculate Cashback. Such data will be used in accordance with applicable privacy policies. You may receive marketing or promotional communications related to Offers or Bonuses available through the Rewards Program.
Unenrollment and Program Changes
You may be unenrolled from the Rewards Program if the program is disabled by the Program Partner or if your account is closed. Upward or the Program Partner may modify, suspend, or terminate the Rewards Program or these Rewards Terms at any time, subject to applicable law. Continued participation constitutes acceptance of any revised terms.
This Rewards Program and accompanying Rewards Terms are revised periodically, and may include changes from earlier versions. You will be notified of any change in the manner provided by applicable law prior to the effective date of the change.
Conflicts
These Rewards Terms are separate from and in addition to the Account Agreement. In the event of a conflict, these Rewards Terms apply solely with respect to the Rewards Program. Bank is not a party to these Rewards Terms and the Rewards Program is the responsibility of Upward and the Program Partner.
Governing Law
These Rewards Terms are governed by federal law and the law specified in the applicable Account Agreement, unless otherwise required by law.
